Điều khoản và Điều kiện

Sự kiện “Trở thành Nhà ảo thuật với câu lệnh” (“Sự kiện”) bắt đầu vào ngày 5 năm 2024 lúc 00:01 sáng (UTC +8) và kết thúc vào ngày 26 tháng 3 2024 lúc 23:59 (UTC +8) ("Thời gian sự kiện"). Khi tham gia Sự kiện, mỗi thí sinh chấp nhận và đồng ý tuân thủ và tuân theo các Điều khoản và Điều kiện này cũng như các quyết định của Micro-Star Int'l Co., Ltd. (“MSI”) vô điều kiện, các quyết định này sẽ là quyết định cuối cùng và ràng buộc trong tất cả các khía cạnh:

• Ghi danh.
  Trong thời gian diễn ra sự kiện và hoàn thành các bước sau:

  1. i) Bạn phải đủ 18 tuổi hoặc là người trưởng thành trong khu vực pháp lý của bạn để tham gia Sự kiện này.
  2. ii) Tạo và chia sẻ tác phẩm nghệ thuật AI “Từ câu lệnh tới hình ảnh” hoặc “Từ câu lệnh tới video” dựa trên các câu lệnh mang chủ đề #Dragon và #Card-đồ-họa-MSI bằng cách sử dụng bất kỳ công cụ AI tạo văn bản thành hình ảnh nào mà bạn chọn. Phải tuân thủ nghiêm ngặt Tất cả các hạn chế sử dụng đối với từng công cụ AI tổng hợp hiện hành, bao gồm các biện pháp hạn chế sử dụng được nêu trong Phần 5 bên dưới.
  3. iii)Tải tác phẩm nghệ thuật đã tạo bằng AI lên mạng xã hội Instagram, Twitter/X, Facebook hoặc Tik Tok của bạn với hastag #PromptMagician và gắn thẻ @msigaming (Instagram), @msi (Tok Tok) hoặc @msigaming (Twitter/X). Trang mạng xã hội của bạn phải được đặt ở chế độ hiển thị công khai.
  4. iv) Khi thực hiện các bước được đề cập ở trên, Bạn sẽ được xem như đã đồng ý với Điều khoản và Điều kiện của Sự kiện.
  5. v) Vào ngày 2 tháng 4 năm 2024, MSI sẽ lựa chọn ngẫu nhiên mười ba (13) người thắng giải từ nhóm người tham gia đủ điều kiện. Trong vòng năm (5) ngày làm việc sau khi người thắng giải được chọn, chúng tôi sẽ thông báo cho người thắng giải thông qua tin nhắn riêng tư trên mạng xã hội được đăng ký. MSI có thể liên hệ với Bạn để xác nhận địa chỉ đã đăng ký của Bạn: thông tin địa chỉ giao hàng không đầy đủ hoặc không chính xác có thể trở thành cơ sở để loại người thắng giải. Nếu người thắng giải không đủ điều kiện, không thể nhận thông báo, không trả lời câu hỏi của chúng tôi trong vòng ba (3) ngày kể từ khi MSI gửi câu hỏi hoặc không cung cấp cho chúng tôi thông tin được yêu cầu, bạn sẽ mất tư cách nhận giải thưởng. Người chiến thắng mới sẽ được chọn ngẫu nhiên. MSI có toàn quyền quyết định những vấn đề như vậy.
  6. vi) Rút thăm trúng thưởng:
     • - Một (1) người thắng giải sẽ nhận được một (1) dàn máy PC sở hữu card đồ hoạ RTX 4080 SUPER mới nhất, trị giá (3.000 USD).
     • - Hai (2) người thắng giải, mỗi người thắng giải sẽ nhận được một (1) card đồ họa RTX 4070 Ti SUPER 16G VENTUS 3X OC, trị giá (829,99 USD).
     • - Mười (10) người thắng giải, mỗi người thắng giải sẽ nhận được một (1) mã Steam Wallet trị giá 20 USD. Giá trị mã Steam hiển thị trên trang web chỉ mang tính chất tham khảo; giá trị thực tế sẽ thay đổi do việc chuyển đổi tự động sang nội tệ dựa trên tỷ giá chuyển đổi áp dụng vào ngày quy đổi thực tế.
  7. vii) Khu vực đủ điều kiện tham gia chương trình: Dành cho cư dân hợp pháp trên toàn thế giới, ngoại trừ Thổ Nhĩ Kỳ, Ý, Thái Lan, Cộng hòa Nhân dân Trung Hoa, Nga, Belarus, Cuba, Iran, Syria, Bắc Triều Tiên và các quốc gia hoặc khu vực bị hạn chế, trừng phạt hoặc cấm vận. Người thắng giải thưởng tiềm năng của sự kiện này sẽ phải xuất trình bằng chứng cư trú.
  8. viii) BẠN KHÔNG CẦN MUA HÀNG ĐỂ THAM GIA RÚT THĂM MAY MẮN. Đối với tất cả người tham gia, Sự kiện này là hoàn toàn miễn phí để có cơ hội giành giải thưởng rút thăm, bạn có thể tham gia bằng cách viết yêu cầu tới MSI và gửi yêu cầu này đến văn phòng MSI Đài Loan, Micro-Star Int'l Co., Ltd., tọa lạc tại số 69 Phố Lide, Quận Zhonghe, Mã Bưu Chính 23584, Thành phố Tân Bắc, Đài Loan. Yêu cầu bằng văn bản của người tham gia chỉ được chấp nhận khi được trình bày rõ ràng và phải bao gồm tên đầy đủ của người tham gia, địa chỉ gửi thư hợp lệ (KHÔNG SỬ DỤNG HỘP THƯ BƯU ĐIỆN), số điện thoại và bất kỳ địa chỉ email nào để cho phép MSI xác minh người tham gia và tên của Sự kiện. Mỗi người tham gia chỉ được phép tham gia một lần. MSI cũng sẽ sử dụng thông tin liên hệ được cung cấp trong bài dự thi để liên hệ với người tham gia nếu thích hợp.
  9. ix) Giá trị bán lẻ trung bình của giải thưởng được MSI xác định với thiện chí. Nếu giá trị thực tế của giải thưởng nhỏ hơn giá trị bán lẻ trung bình đã nêu thì phần chênh lệch sẽ không được trao bằng tiền mặt. Người thắng giải không thể được chuyển nhượng, quy đổi thành tiền mặt hoặc thay thế giải thưởng. MSI có toàn quyền quyết định trao giải thưởng thay thế có giá trị bằng hoặc lớn hơn nếu giải thưởng được mô tả trong các Điều khoản và Điều kiện này không có sẵn hoặc không thể được trao toàn bộ hoặc một phần vì bất kỳ lý do gì. MSI không đưa ra tuyên bố hay bảo đảm nào về hình thức, độ an toàn hoặc hiệu quả hoạt động của bất kỳ giải thưởng nào được trao. Các hạn chế, điều kiện và giới hạn đều có thể được áp dụng. MSI sẽ không thay thế bất kỳ vật phẩm giải thưởng nào bị mất hoặc bị đánh cắp.
  10. x) Sự kiện này chỉ dành cho người tiêu dùng cuối đủ điều kiện, doanh nghiệp. MSI, các chi nhánh của MSI, công ty con, nhà sản xuất, đối tác kinh doanh, nhà phân phối, nhà bán buôn, đại lý, nhà bán lẻ hoặc nhân viên đại lý và gia đình trực hệ của họ không đủ điều kiện tham gia Sự kiện này.
  11. xi) Các bài dự thi tự động hoặc sử dụng robot do cá nhân hoặc tổ chức gửi sẽ bị loại. Bài dự thi phải được người tham gia thực hiện. Bất kỳ nỗ lực nào của người tham gia nhằm đạt được nhiều hơn số lượng bài dự thi đã nêu bằng cách sử dụng nhiều địa chỉ email, danh tính, đăng ký, thông tin đăng nhập hoặc bất kỳ phương pháp nào khác sẽ khiến cho bài dự thi của người tham gia đó mất hiệu lực và có thể dẫn đến việc bị loại ngay lập tức. Khả năng đủ điều kiện cuối cùng để nhận bất kỳ giải thưởng nào đều phải được xác minh tính đủ điều kiện như được quy định trong Điều khoản & Điều kiện này. Tất cả các mục phải được đăng trước khi kết thúc thời gian Sự kiện để tham gia. Đồng hồ cơ sở dữ liệu của MSI sẽ là đồng hồ tiêu chuẩn chính thức cho Sự kiện này.

We may ask You for information during the Event enrolment and product registration process that may, as applicable, include without limitation Your email, name, product serial number, redemption code, purchase information, and other voluntary information You provide. In addition, we may indirectly gather information from you via cookies or website embedded analytics. The information we collect will be used in the following manner: to run this Event, to verify Your eligibility, to contact You if needed, to ensure prize(s) can be sent to You, to store registered product data for as long as an ongoing relationship exists between us (eg. When You use our services such as warranty, eDM notices, etc.), and to use solely for internal market studies for developing better products and services. Your information will not be shared with third parties, except: i) to third party processors such as our internet service and website providers in order for us to execute this Event; and ii) when reporting or responding to actual or suspected breach of applicable laws to legal and regulatory authorities such as courts or the police to the extent needed.

Because of the international nature of our business, we transfer information within the MSI group, and to third parties as referenced above, in connection with the purpose set forth in these terms and conditions. Therefore, we may transfer information to countries that may have different laws and data protection compliance requirements that those applicable in the country You are located.

Further details of how Your information may be used and processed are detailed in MSI’s privacy policy, available at https://www.msi.com/page/privacy-policy. The MSI Privacy Policy constitutes a part of this Terms and Conditions, and is hereby incorporated by reference with full force and effect.

You may be asked to join MSI’s eDM emailing list to receive MSI product news or service updates. If you do not want to subscribe to this list, please do not check the subscribe or similarly titled check box.

For any material You may provide to us for this Event, including without limitations, pictures, videos, reviews, content, comment, feedback, and written material, as applicable (collectively, “Submitted Materials”), You hereby grant MSI and its worldwide affiliates and subsidiaries a perpetual, irrevocable, royalty-free, fully paid up, worldwide, sublicensable license to use, reproduce, copy, distribute, create derivative works of, publicly display and perform, and otherwise use or exploit the Submitted Materials in any legal manner reasonably determined by MSI and subject to MSI’s Privacy Policy.

You hereby represent and warrant that:

• i) The information You have provided is accurate and true;
• ii) You have the full authority, capacity, power, and right to enroll in this Event, and make the required license grant, representation, and warranties under this Terms and Conditions;
• iii) You have obtained and will maintain all applicable approval, consent, permissions, licenses, and waivers necessary to grant the licenses stated above to MSI and its subsidiaries;
• iv) You have complied with all applicable laws in enrolling in this Event; and
• v) You agree not to use any generative AI model(s) or derivatives of such model(s) in any way:
  • - To exploit, harm, or attempt to exploit or harm minors in any way;
  • - To generate or disseminate verifiably false information and/or content with the purpose of harming others;
  • - To generate or disseminate personal identifiable information that can be used to harm an individual;
  • - To defame, disparage or otherwise harass others;
  • - To adversely impact an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation through automated decision making;
  • - For any use intended to or which has the effect of discriminating against or harming individuals or groups based on online or offline social behavior or known or predicted personal or personality characteristics;
  • - To exploit any of the vulnerabilities of a specific group of persons based on their age, social, physical or mental characteristics, in order to materially distort the behavior of a person pertaining to that group in a manner that causes or is likely to cause that person or another person physical or psychological harm;
  • - For any use intended to or which has the effect of discriminating against individuals or groups based on legally protected characteristics or categories;
  • - To provide medical advice and medical results interpretation;
  • - To generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use).

You shall defend, indemnify, and hold harmless MSI, its affiliates, and successors, assigns, directors, and agents, from and against any and all liabilities, damages, judgments, costs, expenses, and fees (including reasonable attorney’s fees) resulting from any claims, investigations, litigation, or other legal or administrative action by third parties arising out of or relating to any actual or alleged breach by You of any representations, warranties, undertakings in this Terms and Conditions.

You hereby acknowledge and agree that:

• i) MSI reserves the sole and discretionary right:
  1. i) to determine, on a final and conclusive basis, whether a participant has fulfilled the Event requirements in good faith. For illustrative purpose without limiting any other terms, MSI may disqualify participants: a) if Event enrolment or product registration is incomplete, b) if Event eligibility requirements such as applicable product line or regional restrictions are not met; c) if the provided documents are forged, fraudulent, or void; d) if automated codes, scripts, plugins or other means were used to enter or complete Event enrolment; e) if participant does not have the legal capacity to enroll in this Event, or f) if criminal or illegal acts are committed or allegedly committed to enroll in this Event;
  2. ii) to replace the prize with items of similar value without prior notice;
  3. iii) to vary, delete or add to any of these terms and conditions if there is valid reason understood as:
     • - amendment of the laws governing the rules and organization of the Event, affecting the rights and obligations of MSI and participants
     • - extension or reduction of the duration of the Event
     • - change in the way the Event is carried out due to technical, technological or commercial reasons
     in case of any such change the revised terms and conditions will be published by MSI at the Event landing page. For the avoidance of doubt, as applicable, changes to the terms and conditions do not affect orders placed or offers implemented under the terms and conditions applicable prior to the change.
• ii) MSI is not liable and assumes no liability to any person for any loss, dissatisfaction, or damage arising from the prize, and uses thereof. Winners shall not make any claims against MSI;
• iii) MSI disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of the winning notification due to mechanical, technical, electronic, communications, telephone, computer, hardware, internet, or software errors, malfunctions, or failures of any kind. In such eventuality, the winner unconditionally waives his/her right to the prize and any associated compensation.

MSI PRIZE(S) IS/ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAWS, MSI SHALL NOT BE LIABLE TO YOU ON ACCOUNT OF ANY CLAIM (REGARDLESS OF THEORY OF LIABILITY WHETHER BASED UPON PRINCIPLES OF CONTRACT, WARRANTY, NEGLIGENCE OR OTHER TORT, BREACH OF ANY STATUTORY DUTY, OR OTHERWISE) FOR ANY SPECIAL, CONSEQUENTIAL, RELIANCE, INDIRECT, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES, WHETHER FORESEEABLE OR NOT, INCLUDING BUT NOT LIMITED TO LOST PROFITS, REVENUE, GOODWILL OR COST OF REPLACEMENT.

This Terms and Conditions is governed and construed by the laws of Taiwan, regardless of conflict of law principles, and all disputes arising from the Event and these terms shall be adjudicated by the Taipei District Court in Taipei, Taiwan. Any provision invalidated by a competent court shall be stricken, and the remaining Terms and Conditions will remain in full force and effect. Failure by MSI to enforce any right under this Terms and Condition shall not be deemed to be a waiver. MSI shall not be liable for any failure to perform due to circumstances beyond its reasonable control. This Terms and Conditions shall not be assigned or otherwise transferred by You to any other third party; all unauthorized assignments are null and void. This Terms and Conditions constitute the entire agreement between the parties with respect to the Event, and supersede any prior agreements, communications, representations, or discussions, oral or otherwise.
